Introduction
These Terms of Service ("Terms") govern your access to and use of the services provided by Sourcify ("we," "our," or "us"), including our website, sourcing engagements, deliverables, and any related materials. By engaging our services or accessing our website, you agree to be bound by these Terms.
Services
Scope of Service
Sourcify provides candidate sourcing services on a monthly subscription basis. This includes curated candidate shortlists, candidate outreach managed on the client's behalf, and interview scheduling support. The specific roles and requirements for each engagement will be defined during a structured intake meeting at the start of the engagement and refined through ongoing calibration.
Intake Calls
Initial discovery calls are offered at no charge and do not constitute a binding agreement for services. No service relationship is established until a subscription is activated.
Deliverables
Deliverables include curated candidate shortlists, outreach handled on the client's behalf, and interview scheduling coordination. We use commercially reasonable efforts to deliver shortlists within 24 hours of the completed intake meeting, though this timeline is a target and not a guarantee. The number of candidates per shortlist varies based on role, market, and specifications.
Subscription Terms
Term and Commitment
Sourcify subscriptions are offered on a 12-month term, billed monthly in advance. The subscription begins on the date specified in the order confirmation. Early termination by the client does not entitle the client to a refund of fees already paid, and outstanding monthly fees for the remainder of the term remain due.
Renewal
At the end of the initial 12-month term, the subscription will continue on a month-to-month basis unless either party provides 30 days written notice of non-renewal.
Pause and Resumption
Subscriptions may not be paused during the initial 12-month term except by mutual written agreement.
Fees and Payment
Payment Terms
The monthly subscription fee is billed in advance. Invoices are due within 14 days of receipt. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to pause services on any subscription with overdue payments exceeding 30 days.
No Additional Fees
The monthly subscription fee covers all sourcing activities, candidate outreach, and interview coordination as described in the engagement. There are no activation fees, no per-message fees, no placement fees, and no per-hire costs.
Fee Adjustments
For renewals beyond the initial 12-month term, we reserve the right to adjust fees with 60 days written notice. Adjusted fees will apply to the next billing cycle following the notice period.
Intellectual Property
Client Ownership
The client retains full ownership of all candidate information delivered to them as part of the service, including shortlists, contact details, and notes specific to their engagement.
Sourcify Retained Rights
Sourcify retains ownership of all pre-existing intellectual property, proprietary frameworks, methodologies, tools, internal databases, and infrastructure used in the delivery of services. The client receives a non-exclusive, non-transferable license to use deliverables for their internal hiring purposes only.
Use of Engagement References
Unless otherwise agreed in writing, Sourcify may reference the existence of the client relationship and general nature of work performed in marketing materials and case studies. We will not disclose confidential business information, candidate names, or specific role details without prior written consent.
Confidentiality
Mutual Obligations
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This includes business strategies, financial data, candidate information, internal processes, and any materials marked as confidential. These obligations survive the termination of the engagement for a period of two years.
Exceptions
Confidentiality obligations do not apply to information that is publicly available, independently developed, received from a third party without restriction, or required to be disclosed by law.
Warranties and Limitations
Service Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific hiring outcomes, candidate acceptance, or that any candidate sourced will be hired by the client. Hiring decisions, qualification, and offer management remain the sole responsibility of the client.
Limitation of Liability
To the maximum extent permitted by law, Sourcify's total liability for any claims arising from or related to a subscription shall not exceed the total fees paid by the client for that subscription in the 12 months preceding the claim. In no event shall Sourcify be liable for any indirect, incidental, consequential, or punitive damages.
Termination
Termination for Cause
Either party may terminate a subscription immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice.
Effect of Termination
Upon termination, the client shall pay all fees due through the date of termination. Outstanding fees for the remainder of the initial 12-month term remain due unless termination is for cause by the client. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
General Provisions
Independent Contractor
Sourcify operates as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between Sourcify and the client.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the Province of Quebec.
Amendments
We may update these Terms from time to time. Material changes will be communicated via email or through our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
